Bio
Ali Anwar is a Managing Director and the Middle East Practice Leader with Alvarez & Marsal Global Transaction Advisory Group in Dubai. He brings more than 17 years of professional services experience.
Based in the Middle East since 2010, Mr. Anwar's core expertise is advising clients on M&A and capital markets transactions as a financial due diligence advisor and leading integrated due diligence engagements including financial, commercial, operational, technical, IT/cyber, tax and other due diligence workstreams.
Mr. Anwar approaches financial due diligence engagements by critically evaluating a business to confirm the deal rationale; identify key business drivers, trends, risks and potential upsides/downsides to assess the quality of historical earnings and sustainability of forecast earnings and cash flows; identify potential adjustments to reported earnings/EBITDA, net working capital and net debt that could impact deal valuation, structuring or other transaction elements; and deliver SPA advice linked to accounting/financial matters including definitions, deal structuring, pricing mechanism, purchase price adjustments, deferred consideration, earnouts, and risk protection.
Prior to joining A&M, Mr. Anwar served as a Partner in the financial due diligence practice of Ernst & Young (EY) in the Middle East. He spent almost 15 years with EY, based most recently in Dubai, where his mandate was to advise clients across the region on domestic and outbound transactions. Prior to that, he was based in Saudi Arabia where he helped rebuild EY’s financial due diligence practice. He started his career with EY in London.
During his tenure at EY in the Middle East, Mr. Anwar advised on engagements for pre-acquisition financial due diligence, vendor financial due diligence, reporting accountant roles for capital markets transactions, SPA support from an accounting/financial perspective, and other transaction advisory services including deal origination, market entry approaches, feasibility studies, expansion strategies, valuation, and operating model and business case development.
Mr. Anwar earned a bachelor’s degree in mathematics from Imperial College London. He is a qualified Chartered Accountant.
